Fiskars Corporation’s directed share issue by conveying treasury shares without consideration based on the Employee Share Savings Plan
The Board of Directors of Fiskars Corporation has decided on a directed share issue by conveying treasury shares without consideration based on the company’s Employee Share Savings Plan’s (“MyFiskars” or “Plan”) plan period 2023-2026. In the share issue, 15,086 treasury shares are conveyed without consideration as the reward under the Plan to the eligible participants in accordance with the terms and conditions of the Plan.
The company has a weighty financial reason for the deviation from the shareholders’ pre-emptive right since the company has an obligation to issue the shares to the participants, and the purpose of the Plan was to invite employees to acquire and own Fiskars shares, and to create a culture of ownership as well as to further strengthen employees’ long-term commitment to the company.
Based on decisions by the Board of Directors of Fiskars Corporation in 2023, 2024 and 2025, three MyFiskars plan periods were launched. Information about the launch and the terms and conditions of the Plan have been published in a stock exchange release on March 15, 2023, March 13, 2024 and March 12, 2025.
The decision on the share issue by conveying treasury shares is based on the authorization granted to the Board of Directors by Fiskars Corporation’s Annual General Meeting of Shareholders held on March 11, 2026. Following the delivery, the company holds 270,629 treasury shares.
The shares will be delivered to the eligible participants of the Plan on July 27, 2026 at the latest.
