ANNUAL GENERAL MEETING OF SHAREHOLDERS 2003 The Annual General Meeting of shareholders approved the financial statements for 2002 on March 13, 2003. A dividend of euro 0,70 per share was declared for A-shares and euro 0,68 per share for K-shares. The dividend will be paid on March 25, 2003. The members of the Board and the President were discharged from responsibility for the previous year. The Annual General Meeting decided to change the Companys Articles of Association. The first paragraph of Article 6 was amended so that the Board of Directors consists of at least five and not more than nine ordinary members. A maximum of three deputy members can be elected. The Board of Directors and the deputy members term of office will end at the closure of the next Ordinary Shareholders Meeting following the election. Item 12 of the Article 14 was amended accordingly. The number of Board members was decided to be six and deputy members to be two. The retiring Board members, Göran J. Ehrnrooth and Thomas Tallberg as well as the retiring deputy members Paul Ehrnrooth and Alexander Ehrnrooth were re-elected. When the amendment in the Articles of Association has been registered the term of office of all Board members and deputy members will expire at the end of the Annual General Meeting in 2004. KPMG Wideri Oy Ab was elected auditor. The Annual General Meeting decided to authorize the Board of Directors to acquire at the Helsinki Exchanges, within the period of one year from March 13, 2003 a maximum of 1,962,303 of the company's own shares of series A and a maximum of 805,918 of series K in a proportion deviating from the shareholders' existing proportionate holdings at share prices quoted on the Helsinki Exchanges at the time of such acquisition. The Annual General Meeting decided to authorize the Board of Directors to decide within the period of one year from 13 March 2003 to sell a maximum of 1,962,303 Fiskars shares of series A and a maximum of 805,918 Fiskars shares of series K acquired pursuant to the Board's authorization. The Annual General Meeting decided to increase the share capital by minimum 100 euros and maximum 525,000 euros through a directed issue to the holders of Fiskars warrants of series C.
